Job Description

About the Role

Role Purpose:

To assist 2 Company Secretaries across all portfolios with statutory compliance and corporate transaction support. This includes support on the listed VCT portfolios and in particular, support for the funds and alternative investment portfolio and assisting on share scheme management for Octopus Capital Limited.


  • Statutory compliance
    • R&A filings/CS filings/directors appointments/ PSC registers/SAIL addresses etc
  • Transaction support on Corporate actions:
    • Assist with administration of the board meetings/filing forms with Companies House/updating share registers and members registers on Blueprint/generally gaining experience on corporate transactions
  • Board support
    • drafting agendas
    • publishing board papers
    • managing preparations for board meetings
    • attending and meeting minutes
  • Share Schemes administration
    • Assisting the Head of Company Secretariat and Senior Assistant Company Secretary with vesting and granting of various group share schemes
    • Annual Liquidity Event
    • Liaison with the registrar for the dividend payments  
  • Team tasks
    • Managing the Company Secretariat Annual calendar and liaising with the team on identifying key priorities for each month
    • Managing the filing of confirmation statements and annual report and accounts
  • Manage the Risk reporting database with the Head of Secretariat
  • Updating Blue Print and the statutory registers
  • Managing the KYC process
  • General project support across the 4 team portfolios


  • ICSA qualification (or part-qualified)
  • Good track record in project managing transactions
  • An enthusiasm and passion for a career in Company Secretariat
