About the Role

What’s in it for you?

We're looking for a Share Plans Lead to manage all shares related activity for the Group. Reporting into the Head of Legal, you'll be responsible for all day to day administrative and transactional tasks, customer service and reporting activities associated with the varied share plans. This includes planning and execution of share plan events, including project managing our annual Liquidity Event, our Share Incentive Plan and the management of various share schemes across our group. As a result, this exciting role will provide varied exposure to many parts of Octopus’ business.


The team:

The Legal & Governance Team are one of the ‘Centres of Expertise’ within Octopus and form part of a much larger Risk & Compliance function. The team provide corporate compliance and governance services to Octopus group companies and Octopus managed funds. There are 12 people in the team, looking after a variety of companies ranging from listed VCTs, FCA regulated entities, institutional funds and LLPs that invest in renewable energy, healthcare, property, fibre networks and much more!


What you’ll be doing:

  • Manage share registers and share plans
    • Manage interaction / communication with the Board of Directors
    • Maintain shareholder records for due diligence purposes
    • Manage various share schemes and associated end to end processes to maintain these
    • Manage execution of share transactions, including necessary documentation
    • Manage shareholder events, including General Meetings
    • Ensure data is up to date & reconciled on a timely basis
    • Ensure procedures are followed and quality standards are met
    • Design and report management Information.
    • Support HMRC reporting like employment related securities
  • Relationship management
    • Own and build strong relationships with 3rd party suppliers and advisors
    • Work closely with internal stakeholders and cross functional teams to manage Shares related activities.
    • Guide junior team members
    • Manage budgets and service reviews for 3rd parties
  • Corporate activities
    • Project manage shares related activities, including our annual liquidity event
  • Lead and facilitate cross functional working and efficient delivery of projects
    • Understand requirements and present proposals, managing senior stakeholders as required.
  • Shareholders
    • Create effective and engaging shareholder communications and manage delivery of these
    • Own the shareholder relationship, including managing our shareholder mailbox


✅ Knowledge of shares schemes and how to manage them effectively

✅ Knowledge on execution of share transactions & preparation of relevant documentation

✅ Ideally have experience of Diligent (but full training can be given)
